1. Purpose of this contract
This Rental Yield Participation Contract (the “Contract”) is made between Aqariya Online (the “Operator”, “we”, “us”) and the user (the “Participant”, “you”). It takes effect when you accept it on the platform.
It sets out the terms on which Aqariya owns the properties listed on the platform and you purchase Rental Yield Units giving you a right to receive a percentage of rental income.
- Aqariya owns 100% of every property listed on Aqariya Online.
- Users purchase Rental Yield Units (“Units”).
- Units give a right to receive rental income, not ownership.
- Units may be transferred internally on the platform where the Operator enables this.
2. Nature of the Units
Units represent contractual rights only.
- Units do not represent real estate ownership, holding-company ownership, equity, voting rights, title or any claim over a property.
- Units represent a contractual right to receive a proportional percentage of rental income.
- Units may be resold internally on the platform subject to the Operator's rules.
3. Property ownership
All properties listed on Aqariya Online are fully owned by the Operator, registered in the name of the Operator or an Operator-controlled holding company, and managed solely by the Operator.
- Users have no legal claim to the property, the holding company, the land or the title deed.
- Users have no ownership interest in capital appreciation. Any completion bonus described in section 4.4 is contractual and discretionary.
4. Rental income distribution
4.1 Calculation. Distributable rental yield is gross rental income, adjusted for occupancy, less taxes and local charges, maintenance and operating expenses, and the Operator's management fee.
4.2 Distribution. Distributions are made monthly or quarterly according to each property's published schedule, proportionally to Units held, and credited to your platform wallet.
4.3 No guaranteed returns. Rental income varies. The Operator does not guarantee a fixed return, a minimum yield or future performance.
4.4 Completion bonus. If the Operator sells a property, it may pay Unit holders a discretionary completion bonus from the sale proceeds, calculated in proportion to Units held after deduction of the Operator's fee. This bonus is not a share of ownership, is not guaranteed and may be zero.
5. Unit purchase
5.1 Process. You select a property, choose the number of Units, complete payment and accept this Contract.
5.2 Price. The Unit price is set by the Operator and may change for future purchases.
5.3 Refunds. Unit purchases are final, except where fraud is detected, payment fails, or the Operator cancels the property listing.
6. Unit transfer (internal marketplace)
Where the Operator enables an internal marketplace, you may offer Units for sale to other platform users.
- Transfers occur only within the platform and may be subject to a marketplace fee.
- Transfers do not require external legal registration and create no ownership rights.
- The Operator may approve or reject listings, freeze transfers, and suspend accounts that breach platform rules.
7. Property management
The Operator is solely responsible for tenant selection, rent collection, maintenance, insurance, legal compliance and property valuation. Users take no part in property management and hold no decision-making or voting rights.
8. Country-specific terms
Each property is governed by the contract form applicable to its country, as set out on the property page.
- Dubai — Dubai Revenue Participation Agreement (RPA): Aqariya owns the property. Users buy rental-income rights under a revenue participation agreement. No shares are issued, and users acquire no interest in UAE real estate. Governed by Dubai (UAE) contract law.
- Turkey — Turkish Rental Income Participation Contract (RIPC): Aqariya owns the property. Users buy rental-income rights under a participation contract. No shares are issued, and users do not own Turkish real estate. Governed by Turkish commercial law.
- Kurdistan — Kurdistan Rental Yield Contract (KRYC): Aqariya owns the property. Users buy rental-income rights under a rental yield contract. No shares are issued and no ownership rights transfer. Governed by Kurdistan Region (KRG) commercial law.
9. Risk disclosure
By accepting this Contract you acknowledge that:
- Rental income may fall and properties may be vacant.
- Market conditions, currency and local regulation may change.
- The Operator may sell, refinance or replace properties.
- The value of Units may fluctuate and you may receive back less than you paid.
- Any completion bonus is discretionary and may be zero.
10. Termination
The Operator may terminate this Contract where you breach platform rules, where fraud is detected, where legal requirements change, or where the property is sold or liquidated.
On termination you receive your final rental yield distribution, your remaining wallet balance, and settlement of any marketplace activity, subject to identity and source-of-funds checks.
11. Governing law
Dubai properties are governed by Dubai contract law; Turkey properties by Turkish commercial law; Kurdistan properties by Kurdistan Region commercial law. Platform operations are governed by the law of the Operator's place of incorporation.
12. Acceptance
By accepting this Contract and purchasing Units you agree to all of its terms, to the platform's policies, to the country-specific terms applying to each property, and to the risk disclosures above.
